[ Transactional ] as a Key Elective : Lawyers who work on significant corporate transactions are increasingly seeing global aspects to their deals. This "hands-on" course considers the legal issues involved in an international merger, acquisition or divestiture, ranging from initial contacts to integration of the target once it is acquired. General course Description: This course will explore the complexities of cross-border mergers and acquisitions, with a particular focus on transatlantic and other international public M&A transactions. The subject-matter provides an opportunity to tie together different bodies of law relevant to M&A (corporate, contracts, securities, antitrust and other regulatory fields.) and to confront the US, European and other geographical and cultural legal and business environments in a deal-oriented context, including case studies of major transactions. We will go over the business and legal framework of cross-border M&A, transaction structures and key deal considerations, and explore the content of cross-border M&A agreements. Regulatory matters, deal risk management and hostile takeovers will also be addressed, as well as post-merger matters and broader policy and cross-cultural considerations. Guest speakers will be invited to share their experience. The course will aim to provide students with a broad understanding of the legal aspects of major cross-border M&A transactions. This is an interactive, primarily practice-oriented course requiring active student participation.
