[ Transactional ] as a Related Elective for those interested in Venture : This course is an obvious choice for students interested in a venture capital practice, as well as those who expect to work with new businesses and technologies. The venture capital market increasingly includes non-U.S. ventures, particular new business opportunities in China. Students will analyze and compare the legal and financial structures for venture investment in the U.S. and China. They will also hear from industry participants, including those active in the Chinese market.

General course Description:

This course is intended to introduce students to the legal and financial principles underlying venture capital investment in start-up enterprises and innovative technologies. A special emphasis of this course will be a comparative analysis of the ways in which the various legal and financial structures employed by venture capitalists are replicated in other legal environments, with a focus on the largest venture capital and IPO market in the world - China. The first eight weeks of the course will coincide with the first eight weeks of Winter Quarter, and will be conducted at Stanford Law School. Class sessions will be comprised of lectures regarding the basic concepts and structures, as well as seminar discussions with venture capital industry participants. This part of the course can be taken for two units, and will be graded on the basis of an examination. The ninth week of the course will be held at the Stanford Center at Peking University in Beijing, and will consist of meetings and seminars with lawyers, entrepreneurs, and venture capitalists active in the Chinese venture capital market. Students will also tour start-up enterprises made possible with venture investments. This week-long portion of the course can be taken for an additional one unit of course credit. This section (02) is limited to 12 students, and will be graded on the basis of participation and a short reflection paper. PLEASE NOTE: Students will need a passport and a visa to travel to Beijing. After the term begins, students accepted into the course can transfer from section 01 (Stanford only) to section 02 (Stanford & Beijing) with consent of instructor. If more than 12 students apply for section 02, students will be selected by a random lottery. Elements used in grading: Section 1: Examination - - Section 2: Examination and Reflection Paper.
