[ Transactional ] as a Related Elective for those interested in Corporate Governance : Any business lawyer must appreciate his or her professional responsibility to advise clients regarding compliance with laws and regulations. This course considers the lawyer’s role as a kind of “gatekeeper,” with a professional responsibility to the public as well as to the client. Students interested in an IP law practice serving business clients should take one or more courses like this that consider the professional responsibilities of the business lawyer.
General course Description:
This seminar focuses on economic analysis of corporate law and corporate governance. The materials consist primarily of law review articles and finance journal articles. Topics are determined closer to the first class in order to ensure timeliness, but the general topics include some or all of the following: Board structures, takeover defenses, shareholder suits, executive compensation, controlling shareholders, and the Sarbanes Oxley Act and the financial crisis.
Course Style: A Substantive course teaches the law, theory, and policy in a particular area of law
