[ Academia ] [ Litigation ] [ Regulatory & Policy ] as a Key Elective : Students preparing for a white collar criminal law practice should have some background in business law. Corporate Governance and Corporate Fraud cover some of the more common areas in which businesses and their officers can run into trouble. These courses consider the business lawyer's role as a kind of "gatekeeper," with a professional responsibility to the public as well as to the client. General course Description: This seminar focuses on economic analysis of corporate law and corporate governance. The materials consist primarily of law review articles and finance journal articles. Topics are determined closer to the first class in order to ensure timeliness, but the general topics include some or all of the following: Board structures, takeover defenses, shareholder suits, executive compensation, controlling shareholders, and the Sarbanes Oxley Act and the financial crisis. Course Style: A Substantive course teaches the law, theory, and policy in a particular area of law |
