[ Litigation ] as a Related Elective for those interested in Corporate Governance : Employers must consider certain rules in securities law and the corporate governance area when employees are terminated. For example, employment attorneys should be aware of the disclosure obligation that is triggered when certain executives of public companies resign or separate from the company. There are also rules in the corporate law area regarding employer treatment of employees who have made complaints to regulatory authorities (“whistle-blowers”). General course Description: This seminar focuses on economic analysis of corporate law and corporate governance. The materials consist primarily of law review articles and finance journal articles. Topics are determined closer to the first class in order to ensure timeliness, but the general topics include some or all of the following: Board structures, takeover defenses, shareholder suits, executive compensation, controlling shareholders, and the Sarbanes Oxley Act and the financial crisis. Course Style: A Substantive course teaches the law, theory, and policy in a particular area of law |
