[ Litigation ] as a Related Elective for those interested in Corporate : Mergers and acquisitions are a reality in the technology industry and among other companies with significant IP assets. Litigation stemming from these mergers or acquisitions is commonplace. Although there are attorneys who specialize in handling such cases, it is not uncommon for general IP litigators to become involved. General course Description: This seminar is designed as an introduction to mergers and acquisitions litigation. The course aims to provide both a practical and doctrinal perspective on M&A-related litigation and relies heavily on readings and issues derived from practice in the Delaware courts where much contemporary deal litigation occurs. Students will apply cases and legal principles in various practical situations that may arise in a transactional litigation practice. Familiarity with basic corporate law principles is assumed. Course Style: An Experiential course is one in which students undertake tasks derived from or akin to those done by practicing lawyers. |
