[ Transactional ] as a Related Elective for those interested in Non Profits : Business lawyers are likely to have many occasions to advise or work with nonprofit corporations. A good understanding of the rules governing the formation and operation of nonprofits is helpful. This course reviews state law governing nonprofits as well as federal tax law. It also covers the fiduciary duties of nonprofit directors, the importance of maintaining the entity's tax-exempt status, and the rules governing its lobbying and political activities. General course Description: This course provides an overview of the rules governing the formation and operation of nonprofit organizations. The course will focus both on the state laws governing nonprofit corporations and on federal tax laws. Topics will include the fiduciary duties of nonprofit directors, obtaining and maintaining tax-exempt status, nonprofit lobbying and political activities, and nonprofit earned income strategies, including social enterprise.
