[ Transactional ] as a Foundational Course for those interested in Mergers & Acquisitions : Taught by two highly experienced corporate lawyers, this course presents the key legal and strategic concepts in an M&A practice. Students learn why and how deals are structured. They also get hands-on experience in negotiating key elements of the transaction and the opportunity to present the deal terms to a sophisticated audience. Negotiating terms is, of course, a central part of an M&A practice. Explaining the terms is also a common role played by M&A lawyers, who are typically invited to corporate board meetings to explain key concepts to directors.

This course is a comprehensive overview of mergers and acquisitions from a practical perspective, taught by two of the leading corporate lawyers in Silicon Valley--Gordon Davidson and Doug Cogen. Topics will include the motivations for corporate acquisitions; financial and structural considerations, valuation of companies; the securities, corporations and fiduciary duty case law underpinning M&A practice; and an in-depth analysis of the agreements used in typical transactions. The course will also feature a number of practical exercises for groups of students to negotiate and draft elements of acquisition agreements and prepare presentations to boards of directors.
